SPENC Integrated Services and Consulting Limited (SISCL)

These Terms and Conditions govern the provision of services by SPENC Integrated Services and Consulting Limited (SISCL) to its clients, participants, researchers, institutions, organizations, and other service recipients.

By registering for a training program, engaging SISCL for consulting services, or submitting a manuscript for publication support or listing services, the Client accepts and agrees to be bound by these Terms and Conditions.


1. DEFINITIONS

In these Terms and Conditions:

  • SISCL means SPENC Integrated Services and Consulting Limited.
  • Client means any individual, organization, institution, company, or government entity receiving services from SISCL.
  • Participant means any individual enrolled in a training program organized by SISCL.
  • Consulting Services means advisory, technical, professional, research, project management, business development, engineering, and related services offered by SISCL.
  • Publication Services means manuscript preparation, editing, peer-review coordination, journal submission support, indexing support, publication guidance, and research paper listing services.
  • Agreement means any contract, proposal, quotation, work order, invoice, purchase order, training registration form, or engagement letter incorporating these Terms and Conditions.

2. GENERAL PROVISIONS

2.1 SISCL shall provide services with reasonable skill, care, and professional diligence.

2.2 SISCL reserves the right to modify, update, postpone, suspend, or discontinue any service where necessary.

2.3 These Terms apply unless superseded by a separate written agreement signed by both parties.

2.4 If any provision is found invalid or unenforceable, the remaining provisions shall remain in full force and effect.


3. TRAINING SERVICES

3.1 Registration

a. Registration is considered provisional until payment requirements have been satisfied.

b. SISCL reserves the right to accept or reject any registration.

c. Participants must provide accurate registration information.

3.2 Payment Terms

a. 100% payment must be received at least five (5) business days before the commencement of the confirmed training program.

b. Participation may be denied where full payment has not been received by the specified deadline.

c. All fees are payable in the invoice currency unless otherwise agreed in writing.

d. Any bank charges, taxes, transfer fees, or currency conversion charges shall be borne by the Client.

3.3 Training Delivery

a. SISCL may conduct training physically, virtually, or in a hybrid format.

b. SISCL reserves the right to change trainers, venues, schedules, or delivery methods when circumstances require.

c. SISCL shall make reasonable efforts to notify participants of any changes.

3.4 Cancellation by Participant or Client

a. Cancellation requests must be submitted in writing.

b. Cancellations received:

  • More than fourteen (14) days before commencement may qualify for a credit toward a future training.
  • Seven (7) to fourteen (14) days before commencement may attract an administrative charge of up to 25% of the training fee.
  • Less than five (5) days before commencement shall be non-refundable.

c. Failure to attend training shall not entitle the participant or sponsoring organization to a refund.

3.5 Substitution of Participants

a. A registered participant may be substituted by another participant prior to the commencement of training upon written notification.

b. SISCL reserves the right to verify substitute eligibility where prerequisites apply.

c. For multi-day training programs, no substitution of participants shall be permitted after the first day of training.

d. Where a participant withdraws after training has commenced, the full training fee remains payable and non-refundable.

3.6 Postponement or Cancellation by SISCL

SISCL reserves the right to postpone, reschedule, or cancel training due to insufficient enrollment, force majeure events, trainer unavailability, safety concerns, or circumstances beyond its reasonable control.

In such cases, the Client may choose:

  • attendance at a rescheduled training;
  • a credit toward a future training; or
  • a refund of fees paid for the affected training.

3.7 Certification

Certificates shall be issued subject to:

  • full payment of fees;
  • compliance with attendance requirements;
  • successful completion of assessment requirements where applicable.

SISCL reserves the right to withhold certificates where these conditions are not met.


4. CONSULTING SERVICES

4.1 Scope of Services

a. Consulting services shall be provided according to the agreed proposal, contract, scope of work, or engagement letter.

b. Any services requested outside the approved scope may attract additional charges.

4.2 Client Responsibilities

The Client shall:

  • provide accurate information;
  • provide timely access to personnel, facilities, and documents;
  • cooperate with SISCL during service delivery;
  • obtain necessary internal approvals.

SISCL shall not be responsible for delays resulting from the Client’s failure to perform these obligations.

4.3 Professional Judgment

SISCL shall provide recommendations based on professional knowledge, available information, and applicable industry standards.

The Client acknowledges that implementation decisions remain solely the Client’s responsibility.

4.4 Consulting Fees

a. Fees may be fixed-price, milestone-based, retainers, daily rates, hourly rates, or other agreed structures.

b. Unless otherwise agreed, invoices are payable within fifteen (15) days of issuance.

c. Overdue payments may attract interest at the prevailing commercial lending rate permitted by applicable law.

4.5 Deliverables

Ownership and usage rights of consulting deliverables shall remain with SISCL until full payment has been received.

Upon payment, the Client shall obtain a non-exclusive right to use deliverables for their intended purpose unless otherwise agreed.

4.6 Acceptance

Deliverables shall be deemed accepted if no written objections are received within ten (10) business days after delivery.


5. JOURNAL PUBLICATION AND RESEARCH PAPER LISTING SERVICES

5.1 Nature of Service

SISCL provides publication support services, including but not limited to:

  • manuscript review;
  • editing and proofreading;
  • formatting;
  • plagiarism screening;
  • journal selection guidance;
  • submission support;
  • research paper listing services;
  • publication advisory services.

5.2 No Guarantee of Publication

a. SISCL does not own, control, or influence external journals, publishers, indexing databases, or editorial boards.

b. SISCL does not guarantee:

  • manuscript acceptance;
  • publication;
  • publication timelines;
  • indexing;
  • citation performance;
  • impact factor outcomes.

c. Publication decisions remain solely with the receiving journal, conference, or publisher.

5.3 Author Responsibilities

Authors are solely responsible for:

  • originality of submitted work;
  • accuracy of information;
  • authorship declarations;
  • permissions and ethical approvals;
  • compliance with journal requirements.

5.4 Plagiarism and Academic Integrity

a. Manuscripts must be original works.

b. SISCL reserves the right to reject manuscripts suspected of plagiarism, falsification, fabrication, unethical conduct, or intellectual property violations.

c. Any fees paid prior to rejection may be non-refundable where misconduct is discovered.

5.5 Publication Fees

a. Publication support fees are independent of journal publication fees unless expressly stated.

b. Journal processing charges, article processing charges (APCs), conference fees, reviewer fees, indexing fees, and publisher fees are separate charges payable by the Client.

5.6 Research Paper Listing

a. SISCL may list research papers on approved platforms, repositories, databases, or publication channels where applicable.

b. SISCL does not guarantee continued availability of listings controlled by third-party organizations.


6. INTELLECTUAL PROPERTY

6.1 All intellectual property owned by SISCL before providing services shall remain the property of SISCL.

6.2 Training materials, presentations, manuals, templates, methodologies, and tools remain SISCL’s intellectual property unless otherwise agreed in writing.

6.3 Clients and participants may not:

  • reproduce;
  • distribute;
  • modify;
  • sell;
  • publish; or
  • share

SISCL materials without prior written authorization.


7. CONFIDENTIALITY

a. Both parties shall maintain confidentiality of proprietary and confidential information obtained during service delivery.

b. Confidential information shall not be disclosed to third parties except:

  • with prior written consent;
  • where required by law; or
  • where disclosure is necessary for service delivery.

c. This obligation survives termination of the engagement.


8. DATA PROTECTION

SISCL shall process personal information in accordance with applicable data protection and privacy laws.

Clients consent to the collection, processing, storage, and use of information necessary to provide services.


9. LIMITATION OF LIABILITY

a. SISCL shall not be liable for indirect, consequential, incidental, special, or punitive damages.

b. SISCL’s total liability arising from any engagement shall not exceed the amount paid by the Client for the specific service giving rise to the claim.

c. SISCL shall not be liable for losses resulting from:

  • third-party actions;
  • journal decisions;
  • regulatory decisions;
  • delays outside its control;
  • force majeure events.

10. FORCE MAJEURE

SISCL shall not be liable for delays or failures arising from circumstances beyond its reasonable control, including:

  • natural disasters;
  • floods;
  • pandemics;
  • war;
  • strikes;
  • cyber incidents;
  • government actions;
  • power failures;
  • transportation disruptions.

11. TERMINATION

Either party may terminate an engagement by written notice where:

  • the other party materially breaches these Terms;
  • payment obligations remain unpaid after notice;
  • continued service becomes illegal or impracticable.

Termination shall not affect accrued rights and obligations.


12. GOVERNING LAW AND DISPUTE RESOLUTION

These Terms and Conditions shall be governed by the laws of the Federal Republic of Nigeria.

The parties shall first attempt to resolve disputes amicably through negotiation.

Where resolution cannot be reached, disputes shall be submitted to mediation or arbitration before resorting to litigation.
